For the purposes of this Privacy Policy, unless otherwise noted, all references to Voiaxis, includes Voiaxis's website(s) including without limitation, jamme.app and any mobile applications, including without limitation, Jamme (collectively the “Site”) and Voiaxis Ltd., its subsidiaries and affiliates (“Voiaxis”, “We” or “Us”)

The terms “You” or “Your” refer to You, the user(s) of the Site, regardless of whether you are a sole natural person, using the Site jointly with another person or people, or an entity

Voiaxis is a messaging and chat platform (the “Services”). For the purposes of these Terms, Services shall be defined broadly, and include other services provided by Voiaxis in the future.

Our Terms are hereby incorporated in this Privacy Policy. If you access the Site via a mobile application, you also agree to our EULA (End User License Agreement).

Collection of your Personal Information Voiaxis may collect personal information, about you, including but not limited to your:
Full Name
Contact information (e.g. without limitation, email, address, phone number, profession)
Information about your devices (e.g. without limitation, ISP information) Information about your voice (View, hear, and delete your voice recordings) Credit Card/Payment Information for processing by a third-party. Any other information you voluntarily provide to us including but not limited to Information which you provide while registering on the Site, including but not limited to information about your personal identity such as name, location, preferences, content you put on the Site if you use the Services, etc. We do not collect any personal information about you unless you voluntarily provide it to us. However, you may be required to provide certain personal information to us when you elect to use the Services available on the Site. These may include: (a) registering for an account on our Site; (b) entering information for a link sponsored by us or one of our partners; (c) signing up for special offers from selected third parties; (d) sending us an email message; (e) submitting your credit card or other payment information for payment processing by a third-party (e.g. without limitation, Stripe, etc). To wit, we will use your information for, but not limited to, communicating with you in relation to your use of the Services. We also may gather additional personal or non-personal information in the future.

Sharing Information Voiaxis may share data with trusted partners to help perform statistical analysis, send you email or postal mail, provide customer support, or optimize your use of the Services and learn more about using a variety of tools including but not limited to artificial intelligence and machine learning applications we may use in our sole discretion. All third parties are prohibited from using your personal information except to provide these services to Voiaxis, and we will make reasonable efforts to ensure they are required to maintain the confidentiality of your information.

Voiaxis may disclose potentially personal information and personally-identifying information to its employees, contractors and affiliated organizations that (i) need to know that information in order to process it on Voiaxis's behalf or to provide services available on the Site and (ii) that have agreed to the best our knowledge not to disclose it to others. Some of those employees, contractors and affiliated organizations may be located outside of your home country or jurisdiction; by using the Site, you consent to the transfer of such information to them.

Voiaxis may disclose your personal information, without notice, if required to do so by law or in the good faith belief that such action is necessary to: (a) conform to the edicts of the law or comply with legal process served on Voiaxis or the site; (b) protect and defend the rights or property of Voiaxis; and/or (c) act under exigent circumstances to protect the personal safety of users of Voiaxis, or the public.

Tracking User Behaviour

Voiaxis may at its sole discretion keep track of the websites and pages our users visit within Voiaxis whether by desktop or mobile device, in order to determine what Voiaxis services are the most popular. This data is used to deliver customized content and advertising within Voiaxis to customers whose behavior indicates that they are interested in a particular subject area.

Automatically Collected Information

Information about your computer hardware, mobile devices, and software may be automatically collected by Voiaxis. This information can include: your IP address, browser type, domain names, access times and referring website addresses. This information is used for the operation of the service, to maintain quality of the service, and to provide general statistics regarding use of the Site.

Use of Cookies

The Voiaxis website may use” cookies” to help you personalize your online experience. A cookie is a text file that is placed on your hard disk by a web page server. Cookies cannot be used to run programs or deliver viruses to your computer. Cookies are uniquely assigned to you, and can only be read by a web server in the domain that issued the cookie to you. One of the primary purposes of cookies is to provide a convenience feature to save you time. The purpose of a cookie is to tell the Web server that you have returned to a specific page. For example, if you personalize Voiaxis pages or subdomains, or register with Voiaxis or use of the Services, a cookie helps Voiaxis to recall your specific information on subsequent visits. This simplifies the process of recording your personal information, such as billing addresses, shipping addresses, and so on. When you return to the Site, the information you previously provided can be retrieved, so you can easily use the Voiaxis features that you customized. If you choose to decline cookies, you may not be able to fully experience the interactive features of the Site or the Services. Web Watch

We may also use a technology called web watch to collect general information about your use of our website and your use of special promotions or newsletters. The information we collect by web beacons allows us to statistically monitor the number of people who open our emails. Web beacons also help us to understand the behavior of our customers, members, and visitors.

Business Transfer

If Voiaxis, undergoes a Change of Control (as defined herein) your personal information may become an asset of such a transaction. You acknowledge that such transfers may occur, and that any acquirer of Voiaxis may continue to use your personal information as set forth in this policy. As used herein, Change of Control means As used herein, “Change of Control” means (i) a consolidation or merger of Voiaxis with or into any other corporation or other entity or person, or any other corporate reorganization, other than any such consolidation, merger or reorganization in which the shares of capital stock of Voiaxis immediately prior to such consolidation, merger or reorganization, continue to represent a majority of the voting power of the surviving entity immediately after such consolidation, merger or reorganization; (ii) any transaction or series of related transactions to which Voiaxis is a party in which in excess of 50% of Voiaxis's voting power is transferred; or (iii) the sale or transfer of all or substantially all of the Voiaxis's assets, or the exclusive license of all or substantially all of Voiaxis's material intellectual property; provided that a Change of Control shall not include any transaction or series of transactions principally for bona fide equity financing purposes in which cash is received by Voiaxis or any successor, indebtedness of Voiaxis is cancelled, or converted or a combination thereof.

Voiaxis is a data controller with regard to any personal information collected from customers or users of its Services. Any third parties that act as our service providers are “data processors” that handle your personal information in accordance with our instructions.
You may object to our processing at any time and as permitted by applicable law if we process your personal information on the legal basis of consent, contract or legitimate interests. These 'Terms of Use' or simply 'Terms' dictate your interaction with a variety of web pages and mobile apps ('Website') managed by Voiaxis Ltd., its affiliates, or subsidiaries ('Voiaxis', 'We', or 'Us'). 'You' or 'Your' refer you as the user, whether as an individual, a group, or an entity.

Some sections of these Terms are specific to certain Services. For instance, special conditions apply to the Jamme mobile app ('Jamme'). Your use of Jamme is regulated under Section 14 and the End User License Agreement (EULA), which is mandatory to agree to when using the Jamme app. You can choose a subscription plan for Jamme through any App Store, currently free of charge. The EULA is applicable to all Voiaxis mobile apps. If you use such a Service, the relevant section and the EULA will apply to you, in addition to these Terms. Throughout these Terms, references to Services include Jamme. These Terms of Use, together with our Privacy Policy, Mobile Application End User License Agreement, and Terms of Use (collectively, the 'Terms'), oversee your use of the Website, software, mobile apps, features, products, and services that link to these Terms (collectively, the 'Services').

It's crucial to review these Terms carefully before using the Services as they impact your legal rights. By engaging with the Website and any Services, you consent to these Terms and agree to abide by them legally. Occasionally, specific Services might have additional terms, including those offered by third parties. We may at our sole discretion use technology to limit access to the Services from outside the U.K. Your location may not be identified accurately by the technology we use, so you may be unable to access the Services or parts thereof even if you are located in an area in which we intend to provide access. You consent to Voiaxis and its third party service providers determining your location for purposes of providing the Services. Software available in connection with Services may be subject to U.K. export control laws. You agree not to export or re-export such software in violation of U.K. export control laws.

All of our Services are designed for and targeted to adults. They may contain certain content that may not be appropriate for children or that you might find objectionable. To access and use any such Services, you must be at least 18 years of age (or whatever the applicable age of majority (legal adulthood) is where you are located. It is your sole responsibility to determine whether the content in the Services is suitable for you.

By using the Services, you represent and warrant that you meet applicable eligibility requirements

Except as provided in Section 4(a) or otherwise expressly authorized by us in writing, you may not either directly or through the use of any software, device, Internet site, web-based service or other means download, stream capture, store in a database, archive or otherwise copy any part of the Services or Content; upload, sell, rent, lease, lend, broadcast, transmit or otherwise disseminate, distribute, display or perform any part of the Services or Content; license or sublicense any part of the Services or Content; or in any way exploit any part of the Services or Content. a.Viral Distribution

We may expressly authorize you to redistribute certain Content on a personal, non-commercial basis. We will identify the Content that you are authorized to redistribute and describe ways you may redistribute it (such as via email, blogs, or embedded players, or by producing Mash-Ups). We may revoke this authorization at any time. If you redistribute such Content, you must be able to edit or delete such publicly posted Content and you must edit or delete it promptly upon our request. When expressly authorized by us in writing, you may embed videos, pictures, photographs or text using the Features, provided you do not embed the Features on any website or other location that (1) contains or hosts content that is inappropriate, profane, vulgar, offensive, false, disparaging, defamatory, obscene, illegal, infringing, threatening, sexually explicit, racist, that promotes violence, racial hatred, or terrorism, or that we deem, in our sole discretion, to be otherwise objectionable or (2) links to infringing or unauthorized content, or any content described in above in clause (1). You may not embed the Features into any hardware or software application, even for non-commercial purposes. As determined by us in our sole discretion, we reserve the right to prevent embedding to any website or other location that we find inappropriate or otherwise objectionable as determined by us in our sole discretion

5. Legal Complaints a. Copyright Claims

If you believe that any material available on or through the Application infringes upon any copyright you own or control, please immediately notify our us using the contact information provided below (a "Notification"). A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that pursuant to U.K. law you may be held liable for damages if you make material misrepresentations in a Notification. Thus, if you are not sure that material located on or linked to by the Application infringes your copyright, you should consider first contacting an attorney

If you have a complaint regarding any Content on the Services that is not related to copyright infringement, but concerns Content that is objectionable and/or violates the terms of this Agreement, you may contact us at support@jamme.app. In your complaint please provide the reason for your complaint, identify the relevant Service and the location of the Content on the Service, the specific type of Content, and the name of the author, if available or applicable

6. User Submissions

We are constantly updating product and Service offerings. We may experience delays in updating information on the Website or on a Service and in our advertising on other websites. The information found on the Service may contain errors or inaccuracies and may not be complete or current. Products or services may be mis-priced, described inaccurately, or unavailable on the Service and we cannot guarantee the accuracy or completeness of any information found on the Service. We therefore reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice

Some of the Services may allow you to submit or transmit to or through the Services audio, video, text, or other materials, including so-called “user generated content“ and “feedback“ and postings to third-party social media sites (collectively, “User Submissions“). When you provide User Submissions, you grant to Voiaxis and its affiliates and partners a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, fully sub licensable license to use, reproduce, archive, edit, translate, create derivative works of, make available, distribute, sell, display, perform, transmit, broadcast and in any other way exploit those User Submissions, and any names, voices, likenesses and other identifying information of persons that is part of those User Submissions, in any form, media, software, or technology of any kind now known or developed in the future, including, without limitation, for developing, manufacturing, and marketing products. You hereby waive any moral rights you may have in your User Submissions. For clarity, we are not required to and will not provide any form of compensation for any use of your User Submissions

We respect your ownership of User Submissions. If you owned a User Submission before providing it to us, you will continue owning it after providing it to us, subject to any rights granted in these Terms and any access granted to others. Please note that even where a Service provides a deletion capability for User Submissions, and you delete a User Submission from the Service:

• The User Submission may still exist in our backup copies, which are not publicly available
• If your User Submission was shared with third parties, those third parties may have retained copies of your User Submissions, and neither we nor our affiliates have any responsibility for any uses of your User Submission that they might make
• We retain the license specified above. Thus, for example, if we or one of our sublicensees obtained your User Submission for use in creating a derivative work before you deleted it, we or our sublicensee would remain free to complete the creation of that derivative work and thereafter exploit that derivative work for all purposes and at all times

We may impose limits on the size or number of User Submissions (e.g., limits on storage space or inbound or outbound messages) or otherwise refuse or remove a User Submission with or without cause and without notice to you. However, we have no obligation to monitor User Submissions, and you agree that neither we nor our affiliates will be liable for (1) User Submissions; (2) any failure to store, receive or deliver User Submissions; or (3) any loss or damage resulting from User Submissions

Except as provided in the Privacy Policy, we do not guarantee that User Submissions will be private, even if the User Submission is in a password- protected area. Accordingly, you should not provide User Submissions that you want protected from others You bear all responsibility for your User Submissions. You represent and warrant that you have all rights necessary to grant to Voiaxis the license above and that your User Submissions do not violate Section 10 of these Terms

We may provide third party content (including advertisements), products or services or link to third party websites or other services on the Services. We do not necessarily endorse or evaluate third party content, products and services; we do not assume responsibility for third parties's actions or omissions; and we have no liability whatsoever for goods and services you may obtain from or through other services, even if you were directed or linked to such a service through our Service. You should review third parties's terms of use and privacy policies before you use their services. In certain instances, you may be able to connect and/or link your account to certain third party social media sites (“Social Media Sites“), including, without limitation, Facebook and Twitter

8.  Other Fee-Based Offerings

If you accept fee-based Services other than Jamme, you agree to the additional terms governing all such purchases or subscriptions as provided to you or posted on the Services to which they apply, including all requirements to pay applicable fees and taxes. Except as otherwise provided in such additional terms, the provisions of this Section 9 apply to such fee-based Services. Unless otherwise stated, all fees and charges are non-refundable, including for unused portions ofcancelled subscriptions. We do not provide price protection or refunds in the event of a price drop or promotional offering

Voiaxis reserves the right to change the pricing of all Services and to impose subscription or other fees on previously free Services at any time. In the event of a price change, Voiaxis will post the new pricing on the relevant Service and attempt to notify you by sending an email to the address you have registered   We may offer trial subscriptions to paid Services for free or at special discounted prices. Unless otherwise stated, these trial subscriptions will automatically become paying subscriptions at the current subscription rate if you do not cancel before the end of the trial period   The Website and/or the Services may offer various products for sale (“Products“). You are responsible for any taxes imposed on the sale or use of Products, and applicable taxes will be added to the amount charged for Products purchased on through the Services

9.  Acceptable Use

Without limiting any other provision in these Terms, you agree not to do the following, or assist others to do the following:

• Access the Services using any interface other than ours, including by making any automated use of the Services such as using scripts to interact with the Services;
• Maintain any link to the Services that we ask you to remove, in our sole discretion;
• Frame the Services or Content, make the Services or Content available via in- line or “deep“ links, otherwise display the Services or Content in connection with an unauthorised logo or mark, or do anything that could falsely suggest a relationship between Voiaxis or its affiliates and any third party or potentially deprive us of revenue (including, without limitation, revenue from advertising, branding, or promotional activities);  
• Threaten, defame, stalk, abuse, or harass other persons or engage in illegal activities, or encourage conduct that would constitute a criminal offence or give rise to civil liability;  
• Transmit any material that is inappropriate, profane, vulgar, offensive, false, disparaging, defamatory, obscene, illegal, sexually explicit, racist, that promotes violence, racial hatred, or terrorism, or that we deem, in our sole discretion, to be otherwise objectionable;  
• Violate any person's or entity's legal rights (including, without limitation, intellectual property, privacy, and publicity rights), transmit material that violates or circumvents such rights, or remove or alter intellectual property or other legal notices;  
• Transmit files that contain viruses, spyware, adware, or other harmful code;  
• Advertise or promote goods or services without our permission (including, without limitation, by sending unsolicited email through a Service or linking to a Service);  
• Interfere with others using the Services or otherwise disrupt the Services;  
• Disassemble, decompile or otherwise reverse engineer any software or other technology included in the Content or used to provide the Services;  
• Transmit, collect, or access personally identifiable information about other users without the consent of those users and Voiaxis;  
• Engage in unauthorized spidering, “scraping,“ data mining or harvesting of Content, or use any other unauthorized automated means to gather data from or about the Services;  
• Impersonate any person or entity or otherwise misrepresent your affiliation or the origin of materials you transmit;  
• Remove, avoid, interfere with, or otherwise circumvent any access control measures for the Services or Content, including password-protected areas and geo-filtering mechanisms, or any digital rights management measures used in connection with Content;  
• Access any portion of the Services that we have not authorized you to access (including password-protected areas), link to password-protected areas, attempt to access or use another user's account or information, or allow anyone else to use your account or access credentials; or  
• Manipulate the entry or registration process for contests, sweepstakes, surveys, opinion polls or other features of the Services. If we believe you have violated this Section 10, we may immediately terminate your access to the Services, and take any other actions or seek any remedies permitted by law

10. Access to Services and Accounts

To access the Website and the Services, your device must be connected to the Internet, and you are solely responsible for the cost and maintenance of your Internet connection. You are also responsible for ensuring that you have the hardware and software platforms that are necessary to access the Services   The quality of the display of the Content available through the Website and the Services may vary from device to device, and may be affected by a variety of factors, including your location, the bandwidth available through and/or the speed of your Internet connection   Voiaxis will not be liable to you for any blackouts, location-based limitations, device-based limitations, Content-viewing windows, availability of Content, or other restrictions or limitations in connection with the Services or the Content

We may take any of the following actions in our sole discretion at any time, and without giving you prior notice:
• Change how we offer and operate Services (e.g., to begin charging a fee to certain Services or mobile applications, access features or Content that we previously made available without charge);  
• Restrict, suspend or terminate your access to one or more Services or features thereof; and
• Deactivate your accounts and delete all related information and files in your accounts

We will not be liable to you or any third party for taking any of these actions and we will not be limited to the remedies above if you violate these Terms. If Voiaxis terminates your access to any of the Services, you must immediately stop using such Service

Voiaxis reserves the right to test various aspects of the Services. Voiaxis reserves the right to, and by using our Services you agree that we may, include you in or exclude you from these tests without notice

11. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User submissions and related content; (2) you use of the Website, Jamme, and the Services; (3) you breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected with through us. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it. You may not settle any claim covered by this Section 12 without Voiaxis's prior written approval

VOIAXIS DOES NOT WARRANT: (1) THAT THE SERVICES, ANY OF THE SERVICES' FUNCTIONS OR ANY CONTENT WILL BE UNINTERRUPTED OR FREE OF ERRORS OR OMISSIONS; (2) THAT DEFECTS WILL BE CORRECTED; (3) THAT THE SERVICES OR THE SERVERS HOSTING THEM ARE FREE OF VIRUSES OR OTHER HARMFUL CODE; OR (4) THAT THE SERVICES OR INFORMATION AVAILABLE THROUGH THE SERVICES WILL CONTINUE TO BE AVAILABLE. VOIAXIS SHALL HAVE NO LIABILITY FOR ANY SUCH ISSUES. VOIAXIS DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NONINFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND AS TO QUALITY, AVAILABILITY AND SUBJECT MATTER OF CONTENT. 13. Governing Law, Venue, and Jurisdiction

These Terms and all claims arising from or related to your use of the Services will be governed by and construed in accordance with the laws of the United Kingdom, except its conflict of law rules. These Terms will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, if applicable   With respect to all disputes or claims arising out of your use of the Website and/or the Services and in connection with these Terms you hereby agree to exclusive jurisdiction in the United Kingdom waive your right to a jury trial. Notwithstanding any other provision of these Terms, we may seek injunctive or other equitable relief from any court of competent jurisdiction

Regardless of any statute or law to the contrary, you must file any claim or action related to use of the Website or the Services or with respect to these Terms within one year after such claim or action accrued. Otherwise, you will waive the claim or action

14. Mobile Application

Mobile Application Use License

If you access our Services via a mobile application including but not limited to Jamme, conditioned upon your acceptance of our EULA, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance

with the terms and conditions of this mobile application license contained in these Terms. You shall not: (1) decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application; (2) make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application; (3) violate any applicable laws, rules, or regulations in connection with your access or use of the application; (4) remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the application; (5) use the application for any revenue generating endeavour, commercial enterprise, or other purpose for which it is not designed or intended; (6) make the application available over a network or other environment permitting access or use by multiple devices or users at the same time; (7) use the application for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the application; (8) use the application to send automated queries to any web application or to send any unsolicited commercial e-mail; or (9) use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the application

15. Governing Law and Dispute Resolution

These Terms of Use and your use of the Application are governed by and construed in accordance with the laws of United Kingdom, without regard to its conflict of law principles   If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the Central Arbitration Committee (“CAC”) and, where appropriate, the CAC’s Supplementary Procedures for Consumer Related Disputes (“CAC Consumer Rules”), both of which are available at the CAC web site https://www.gov.uk/. Your arbitration fees and your share of arbitrator compensation shall be governed by the CAC Consumer Rules and, where appropriate, limited by the CAC Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable CAC rules or applicable law, the arbitration will take place in a location that mutually agreed by both parties and United Kingdom law shall apply. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator   'The Parties hereby consent to, and waive all defences of lack of personal jurisdiction and forum non convenient with respect to venue and jurisdiction in the United Kingdom courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Use. Instead, this agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.'   This revision ensures that the jurisdiction and governing laws are explicitly stated as being in the United Kingdom, which is essential for legal clarity and enforceability of the terms within the UK legal framework. In no event shall any Dispute brought by either Party related in any way to the Application be commenced more than 2 years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court   The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons

16. Class Action Waiver

Any legal dispute, arbitration, or litigation under these Terms will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted

THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER

Further, unless both you and Squad agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding

17. Sever-ability

If any part of these Terms are determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in effect

18. No Joint Venture

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Voiaxis solely as a result of these Terms or use of our Services.

Disabled Jamme accounts

If your Jamme account is inaccessible, you'll be notified via a message during your login attempt. Non-compliance with our Community Guidelines can lead to account deactivation. Should you believe the deactivation of your account is in error, you have the option to request a review. Simply launch the app, enter your login credentials, and adhere to the instructions provided. In the absence of a deactivation message, it's possible you're facing a sign-in problem. Accounts that have been permanently removed by you or someone with access to your password cannot be recovered. You're free to sign up again using the same email address, although reclaiming your previous username might not be possible. If your account has been compromised or you're experiencing login difficulties, please visit our account security page through a desktop or mobile browser to regain control of your account.

Occasionally, we may permit content that typically violates our Community Guidelines when it carries significant news value or is pertinent to the public discourse. Such exceptions are made after carefully balancing the importance to the public against the potential for harm, guided by global human rights benchmarks in making these determinations.

Share only voice recordings and images that are your original work or that you are authorized to share.

You retain ownership of the material you upload to Jamme. Ensure that the content you share is genuine and refrain from sharing any material that you've obtained from the Internet without proper rights. Familiarize yourself with intellectual property laws to understand your rights and responsibilities.

Please share only suitable voice notes, audio content, and photos for an audience of all ages.

While we understand the desire to share artistic nudes or unique audio recordings, Jamme's policies prohibit nudity and explicit content. This includes any imagery or sounds that feature sexual acts, genitalia, and fully exposed buttocks, as well as certain depictions of female nipples, barring exceptions for breastfeeding, childbirth, health situations, or acts of protest. Furthermore, we do not allow profanity or explicit language on Jamme. Sharing pictures or voice notes about children is common, but we prioritize safety and may remove content depicting nude or partly nude children to prevent misuse. Engage in authentic, spam-free interactions. Do not manipulate likes, followers, or shares, post repetitive comments, contact others for commercial purposes without consent, or exchange money for engagement. Misrepresenting user reviews or ratings is also against our guidelines. While anonymity is permitted, we require accurate information from our users. Impersonation or creating accounts to bypass our rules or deceive others is not allowed. Abide by the law. Jamme does not condone the endorsement of war, terrorism, organized crime, or hate groups. Illegal transactions of sexual services, firearms, drugs, alcohol, and tobacco, as well as non-medical drugs, are forbidden. Trading or selling live animals by private individuals is also prohibited, except by physical stores. Poaching or the sale of endangered species and their parts is strictly banned. Respect fellow community members. We remove threats, hate speech, shaming, blackmail, harassment, and unwanted messaging. Conversations may be more direct about public figures or news-related individuals. Promote safety by not glorifying self-injury. Jamme is a supportive space for those dealing with challenging issues and offers resources for assistance. Content that mocks or attacks self-injury survivors will be removed.

Be cautious with sensitive content. Graphic or violent content may be removed to keep Jamme suitable for all users, though we recognize its role in awareness and education. We urge you to provide a warning when posting such material. Keep the community robust by reporting violations through our reporting system. Our team will review and take necessary actions. You can also manage your personal experience by unfollowing or blocking users or deleting unwanted comments. Directly resolve disputes within the community whenever possible. For copyright or trademark violations, appropriate reports can be filed. Avoid escalating conflicts that could be seen as harassment.

Are voice audio messages end-to-end encrypted ?

Users can enable message encryption in their settings. In the app with message encryption turned on, each message is encrypted end-to-end: Both on-device and cloud processing were designed with layers of security to help keep your Jamme experience safe. We have safeguards in place to protect data from being hacked. Data sent to our cloud is encrypted and securely stored in the cloud servers.

A brief description of our encryption model follows :

End-to-end encryption for audio streams involves accessing the audio frame or packet and encrypting it post-compression before transmission to the Media Server or cloud. Currently, the cloud manages encryption. For storage in the cloud, we utilize SSE-S3 encryption, and for data transmission from the cloud to mobile devices, we employ HTTPS through CloudFront to ensure secure transmission.

We also follow a hybrid encryption model. Initially, we generate a pair of asynchronous encryption keys on the client-side. The private key is stored within the device's Keychain, while the public key is stored on our servers. For each message that's sent, a unique symmetric AES-128 key (a message key) is generated. This key is used to encrypt the actual content of the message. The generated message key is then encrypted asymmetrically using the private key from the sender's Keychain and the public keys of the other participants. This encrypted message key is attached to the message before it is sent. Upon receiving the message, the recipients can decrypt the message key using their respective private keys that correspond to the public keys used for encryption. Once the message key is decrypted, it can be used to decrypt the actual message content. The encrypted content of the messages is persistently stored on our servers.

How is Jamme moderated ?

Jamme has a self-moderation policy: users have powerful tools to fully moderate behaviour on their content - tools that normally other platforms reserve for themselves. You don't need to appeal to us as you can remove offending content yourself! You can delete, hide, and block troublemakers. We don't remove people platform-wide for polite disagreement, or over politics, but we do remove people for harassment, impersonation, foul behaviour, and illegal content.

What happens when I block someone ?

Users can block accounts on the platform they don't like. Blocking a user prevents the user from seeing or interacting with any of your content. When you block a user: The user cannot see any content hosted by you in its entirety. The user is removed from any of your interactions they might have previously been registered. The user cannot see any post or comment posted by you in across the platform.

What is the interest-based ads ?

Interest-based ads are used to highlight products and services that may be relevant to you based on your interests. For example, if you listen to 'nike shoe' audio advertisement, you may later receive a relevant ad on platform related to footwear.

We share advertising IDs with third-party skill and content providers that want to deliver ads on Jamme. An advertising ID is a unique string of letters and numbers that does not contain any information that directly identifies you—like your name or email address. It's a privacy-protecting way to help advertisers deliver ads while keeping track of your preferences. Each Jamme user advert interest has unique advertising IDs specific to each skill developer and content provider. This is designed to prevent developers and advertisers from using the advertising IDs to create advertising profiles based on interactions.

How do I manage my advertising preferences on Jamme ?

You can instruct us not to use the advertising IDs to deliver interest-based audio ads to you. You only need to set this preference once for all third parties because this setting applies to your Jamme account. Manage these preferences or reset your advertising preferences in the Jamme app (Settings > Jamme Privacy > Manage Audio Ad Permissions and Ad Preferences).

Why Jamme asks for certain info to create an account ?

Full Name

Enter the name you want to use on Jamme services. When you share content with others, like an audio or photo, your name shows up with it.

Username

Enter a username that you'll use to sign in to your Jamme Account, like myname@apple.com.

• You'll create a fiction username to use Jamme services.
• You can use letters, numbers, and periods.
• Your username isn't case-sensitive. You don't need to remember which letters are capital or lowercase.

Password

To help keep your account safe, choose a strong password thats at least 8 characters.

• Have a mix of letters, numbers, and symbols.
• Avoid personal info or common words that are easy to guess, like your maiden's name or university name.
• Don't use a password you've used for other accounts or websites. Likewise, don't use this password anywhere else.

A strong password helps you :

• Keep your personal info safe
• Protect your profile and other content
• Prevent someone else from getting in to your account.

Birthday

Enter your date of birth. Some Jamme services have age requirements in each country.

Phone number

If you have a mobile phone, this info is optional but highly recommended. Depending on how you add a phone number to your account, your number can be used on different Jamme services. For example, if you forget your password, your recovery phone number helps you get back into your account. Learn more about how phone numbers are used.

Phone Number

Adding your phone number to your account simplifies the sign-in process, enhances security, and assists in account recovery if you forget your password. For using a new phone number with Jamme, you need to validate it. This is done by entering a verification code sent via text message after updating your number.

Remember, a verified phone number can only be linked to one account. Verifying a new number will disassociate it from any other accounts previously linked to it. Note: If you're not receiving text messages on the registered phone number, there might be a delay from your phone service provider. Should this issue persist, please reach out to your carrier for support.

Current email address

If you already have an email address, we recommend that you add it. You can use this email address to:
• Help keep your account secure.
• Help you get back in if you can't sign in, like if you forget your password.
• Get notifications from Jamme services.

Interest Info provides a way for potential matches to learn about your hobbies and values. It offers a wide range of nearly 200 options, including interests in humanity, sports, movies, Netflix, and nightlife activities. This feature helps others understand how you prefer to spend your time and what matters to you.

MOBILE APPLICATION END USER LICENSE AGREEMENT

Effective Date: July 7th 2021

Please carefully review this End User License Agreement (“EULA”) before downloading or using the Jamme mobile application (“Mobile App”) by Voiaxis Ltd. (“Voiaxis”). By using the Mobile App, which provides access to Voiaxis's Subscription Service via your mobile device(s), you enter into a legal agreement with Voiaxis effective as of the download date. This EULA, along with your existing Subscription Agreement for the Subscription Service, governs your use of the Mobile App. In the case of any conflict between this EULA and the Subscription Agreement, this EULA will exclusively control your use of the Mobile App.

Limited License: Voiaxis grants you a revocable, non-exclusive, non-transferable, limited right to download, install, and use the Mobile App for personal and internal business purposes, adhering strictly to this EULA and the Subscription Agreement.

Account Requirements: You must have a Voiaxis account and agree to the Subscription Agreement to use the Mobile App.

Modifications to EULA: Voiaxis may update this EULA anytime. Current terms will be posted at Voiaxis’s EULA page. Significant changes will be communicated through the Mobile App. You agree to comply with any updated terms.

Maintenance and Support: Voiaxis may update the Mobile App without obligation to provide you with support or maintenance services. Apple and Google are not responsible for any maintenance or support for the Mobile App.

Acceptable Use: Your use is also governed by Voiaxis’s Terms of Use and the relevant App Store or Google Play Terms of Service.

Privacy: Voiaxis collects and uses data about your use of the Mobile App as described in the Voiaxis Privacy Notice, available at Voiaxis’s privacy offerings page.

Electronic Communications: By downloading the Mobile App, you agree to receive electronic communications from Voiaxis related to the Mobile App and Subscription Service.

No Warranty: The Mobile App is provided "as is" without any warranty. Voiaxis does not guarantee compatibility with your device.

Suspension and Termination: Voiaxis may restrict your access to the Mobile App based on your Subscription Agreement status.

Legal Compliance: You're responsible for complying with applicable laws and can manage your information through your account.

Policy Changes: Voiaxis may revise this EULA, and continued use of the Mobile App after changes means you consent to the revised terms.

Objectionable Content: Voiaxis prohibits objectionable content and may restrict access for violators.

Governing Law: This EULA is governed by the laws of the United Kingdom.

By downloading the Mobile App, you acknowledge and agree to this EULA, governing your use and access to the Mobile App and the Subscription Service.

This EULA forms a binding legal agreement between you (and any other entity on whose behalf you accept these terms) (collectively “You” or “Your”) and Voiaxis (each separately a “Party” and collectively the “Parties”) as of the date you download the Mobile App.

Your use of the Mobile App is subject to this EULA and Your use of the Subscription Service will remain subject to the existing agreement governing such use (the “Subscription Agreement”). With respect to the use of the Mobile App, and to the extent the Subscription Agreement conflicts with this EULA, the terms of this EULA will govern and control solely with respect to use of the Mobile App.

1. Non Exclusive License

Voiaxis grants You a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Mobile App for Your personal and internal business purposes strictly in accordance with this EULA and the Subscription Agreement.

2. Your Account

Your use of the Mobile App requires that You have an account with Voiaxis and agree to the terms of the Subscription Agreement.

3. Amendments

Voiaxis reserves the right to modify this EULA at any time and for any reason. Voiaxis will post the most current version of this EULA at https://jamme.app/pages/eula.html. If Voiaxis makes material changes to this EULA, You will receive notification via the Mobile App. Notwithstanding the foregoing, You are responsible for complying with the updated terms posted online at Voiaxis’s website even if these updated terms appear online at Voiaxis’s website before being posted on the Mobile App. Your continued use of the Mobile App after Voiaxis publishes notice of changes to this EULA indicates Your consent to the updated terms.

4. No Included Maintenance and Support

Voiaxis may deploy changes, updates, or enhancements to the Mobile App at any time. Voiaxis may provide maintenance and support for the Mobile App, but has no obligation whatsoever to furnish such services to You and may terminate such services at any time without notice. You acknowledge that neither Apple (for iOS Mobile App) nor Google (for Android Mobile App) has an obligation to furnish any maintenance or support services in connection with the Mobile App.

5. Acceptable Use

You agree that You will be bound by Voiaxis’s Terms of Use found at www.jamme.app/pages/tnc.html You also agree not to violate the usage limits or controls set forth by: (a) the App Store Terms of Service, for iOS users accessing the Mobile App on an Apple product, or (b) Google Play Terms of Service for Android users accessing the Mobile App on an Android product.

6. Privacy

In order to operate and provide the Subscription Service and the Mobile App, Voiaxis may collect certain information about You, including technical and telemetry data related to your use of the Mobile App. We use third party service providers to help us collect and analyze this data, including Google Analytics. Voiaxis uses and protects that information in accordance with the Voiaxis Privacy Notice (a current version of which can be found at www.Voiaxis.com/legal/ privacy-offerings).

7. Consent to Electronic Communications and Solicitation

By downloading the Mobile App, You authorise Voiaxis to send You (including via email and push notifications) information regarding the Subscription Service and the Mobile App, such as: (a) notices about Your use of the Subscription Service and the Mobile App, including notices of violations of use; (b) updates to the Subscription Service and Mobile App and new features or products; and (c) promotional information and materials regarding Voiaxis's products and services.

You can review Your account notification settings and adjust Your messaging preferences, including opting-in to additional messages or unsubscribing to certain messaging through the “Push Notifications” section of the Mobile App settings.

8. No Warranty

YOUR USE OF THE MOBILE APP IS AT YOUR SOLE RISK. THE MOBILE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. VOIAXIS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON- INFRINGEMENT.

The Mobile App is only available for supported devices and might not work on every device. Determining whether Your device is a supported or compatible device for use of the Mobile App is solely Your responsibility, and downloading the Mobile App is done at Your own risk. Voiaxis does not represent or warrant that the Mobile App and Your device are compatible or that the Mobile App will work on Your device.

iOS Application. In the event of Voiaxis’s failure to conform to any applicable warranty, You may notify Apple, and Apple will refund the purchase price for the Mobile App. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APPLE WILL HAVE NO OTHER WARRANTY OBLIGATION WHATSOEVER WITH RESPECT TO (A) THE MOBILE APP, AND (B) ANY OTHER CLAIMS, LOSSES, LIABILITIES, DAMAGES, COSTS, OR EXPENSES ATTRIBUTABLE TO ANY FAILURE TO CONFORM TO ANY WARRANTY. B) Android Application. GOOGLE EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Suspension and Termination of the Mobile App

Voiaxis reserves the right to suspend or terminate Your access to the Mobile App at any time based on the status of Your account under the Subscription Agreement. You understand that if Your account is suspended or terminated, You may no longer have access to the content that is stored within the Subscription Service.

10. Legal Compliance

In the first instance you may be able to view or change the information you have provided us with by logging in to your account on our Platform. Your rights in relation to your Personal Information are limited in some situations. For example, if fulfilling your request would reveal personal data about another person or if we have a legal requirement or a compelling legitimate ground, we may continue to process Personal Information which you have asked us to delete. You also may have the right to make a complaint if you feel your personal information has been mishandled. We encourage you to contact us first to deal with your request, but you are entitled to complain directly to the relevant supervisory authority. If you wish to exercise any of the above rights, please contact us at support@jamme.app. Please note, however, that no information will be provided without verification.

Lastly, if you are not happy with our response, or you believe that your information protection or privacy rights have been infringed, you should contact the UK Information Commissioner's Office, which oversees information protection compliance in the United Kingdom. Details of how to do this can be found at www.ico.org.uk.

11. Changes to This Policy

Voiaxis may update or revise this Policy from time to time. You agree that you will review this Policy periodically. If we make any changes to this Policy, we will change the “Last Updated” date below. You are free to decide whether to accept a modified version of this Policy, but accepting this Policy, as modified, is required for you to continue using our Platform. If you do not agree to the terms of this Policy or any modified version of this Policy, your sole recourse is to terminate your use of our Platform.

12. Objectionable Content Policy

Voiaxis Ltd maintains a zero tolerance policy regarding objectionable content. Objectionable content may not be uploaded or displayed to the extent such content includes, is in conjunction with, or alongside any, Objectionable Content. Objectionable Content includes, but is not limited to: (i) sexually explicit materials: (li) obscene, defamatory, libelous, slanderous, violent and/or unlawful content or profanity: (ill) content that infringes upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent; (iv) content that promotes the use or sale of illegal or regulated substances, tobacco products, ammunition and/or firearms: and (v) gambling, including without limitation, any online casino, sports books, bingo or poker. Any user can flag content they deem objectionable for review. Content will be moderated by Voiaxis Ltd to ensure the timely removal of any and all obiectionable content. User accounts which have been confirmed responsible for posting obiectionable content will be restricted from access to the app.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of United Kingdom, without regards to conflicts of law principles.
